Shares of Bharti Airtel Limited fell on 11 May 2026 after the company disclosed its board will convene on Wednesday, 13 May, to consider a reorganisation of its subsidiaries’ shareholding structure, with Airtel Africa plc among the entities under review.
In an exchange filing, the Gurugram-based telecom major said the board will weigh a potential acquisition of a 16% stake in Airtel Africa currently held by Bharti Enterprises, the promoter group of chairman Sunil Mittal. That purchase would lift Airtel’s direct ownership of its African arm from 62% to 78%. Valued at between $2.8 billion and $3 billion at current market prices, it ranks among the larger cross-border moves by an Indian telecom company in recent years.
No payment structure has been confirmed. The company said exchange consideration could be settled via a fresh preferential allotment of equity shares, cash, or a combination of both. The board will take this up alongside Q4 FY26 results on the same day, with an earnings webinar for analysts and investors scheduled for 14 May.
Investor concern is straightforward: a $3 billion outgo raises questions about future dividend capacity. Airtel declared a final dividend of Rs 16 per fully paid-up share for FY25, with a record date of 18 July 2025. The 52-week high on NSE sits at Rs 2,174.50, putting Monday’s trading levels well below last year’s peak.
At 10:20 am on 11 May, shares were trading at Rs 1,777.00 on NSE, down by 3.13% against a previous close of Rs 1,834.50.
