Jana SFB Rises 3% on Stake Sale, Merger Talks

Shares of Jana Small Finance Bank rose on Thursday, hitting a high of Rs 479.50 on reports of a promoter stake sale and merger talks.

According to the report, Jana Holdings is looking to sell around a 7% stake, bringing its ownership below 10%. At that point, it would also give up its status as the bank’s promoter.

Proceeds from this sale are expected to repay close to ₹700 crore owed to Singapore based private equity firm TPG Asia.

The report also said Jana Holdings is evaluating a merger of the bank with another small finance bank, though no formal decision has been made yet.

This is not the first stake trim. Jana Holdings held about 21.85% in the bank as of March 31, 2026, and sold 4.9% to TVS Motor a month ago for ₹193 crore, bringing its holding down to roughly 17%.

On the debt side, Jana Holdings and parent Jana Capital recently got Bombay Stock Exchange approval for a combined ₹1,663 crore debt restructuring, pushing the bondholder repayment deadline to December 31, 2026, from June 30, 2026.

TPG Asia had agreed to this extension on the understanding that share sale proceeds would go toward repayment.

As of 12:20 pm Thursday, shares were trading at ₹474.25, up ₹6.40 or 1.37% from the previous close of ₹467.85. The stock has gained 12.50% this year, with a market cap of around ₹4,995.80 crore.

The stock has gained 12.50% so far this year, though it remains down 5.23% over the past one year. The bank’s current market capitalisation stands at around ₹4,995.80 crore, with a 52 week high of ₹518.80 and a 52 week low of ₹330.00.
