Unihealth Hospitals Shares Hit 5% Upper Circuit on Plans to Raise Stake 

Shares of Unihealth Hospitals Ltd hit the 5% upper circuit on 6 July after the company announced a major overseas acquisition that strengthens its presence in East Africa. 

According to a regulatory filing, the board has approved the acquisition of an additional 49.81% stake in Uganda-based Victoria Hospital Limited (VHL) through a share swap transaction. Once the required shareholder and regulatory approvals are received, Unihealth’s ownership in the hospital will increase from 50% to 99.81%, making Victoria Hospital an almost wholly owned subsidiary.

The company will complete the deal by issuing 12.5 lakh fully paid-up equity shares on a preferential basis to existing VHL shareholders Bhasker Kotecha and Dr. Chirag Kotecha in exchange for their 49.81% holding. 

This structure enables Unihealth to expand without deploying cash, preserving its balance sheet while enhancing long-term shareholder value.

Managing Director Dr. Akshay Parmar said the acquisition aligns with Unihealth’s international growth strategy and allows nearly all future earnings, cash flows and value creation from Victoria Hospital to benefit Unihealth shareholders. 

He highlighted the hospital’s robust financial performance over the past three years, with revenue increasing from Rs 60.48 crore to Rs 115.27 crore and profit after tax reaching Rs 43.53 crore. Victoria Hospital also enjoys a corporate tax holiday until June 2034 and operates with a debt-free balance sheet, providing flexibility for future expansion across East Africa.

The acquisition follows another positive development for the company. In June 2026, Unihealth reported strong FY26 consolidated results, posting a 35% rise in revenue and an 83% jump in net profit, supported by higher patient volumes and operational efficiencies. The company also recently conducted analyst and investor meetings to discuss its growth strategy and expansion plans.

At 1:10 pm, the shares of Unihealth Hospitals were locked 5% higher at Rs 655.85 on NSE.
